Platform T&C's

1. TERMS AND CONDITIONS

The underlying terms and conditions apply to the use of the Platform Service on the website www.ticketswap.com (and all its subdomains for other countries) for the purpose of buying and (re)selling of Distributed and Regenerated Tickets for certain events (the Platform T&C). These Platform T&C apply exclusively to certain events of various Organizers. As a result, they replace the initial TicketSwap conditions that you agreed to when registering your TicketSwap account, to the extent that they differ from or overlap with each other. In the event of any conflict or inconsistency between the initial TicketSwap conditions and the Platform T&C, the provisions of the Platform T&C shall prevail to the extent permitted by applicable law.

1.1. During the purchase or sale of Distributed Tickets and/or Regenerated Tickets, the Platform T&C are made available to you. By proceeding, you acknowledge that you are using the Platform for the sale or purchase of Distributed Tickets and/or Regenerated Tickets and that you agree to the Platform T&C.

1.2. TicketSwap reserves the right to alter the Platform T&C. Only in the event of a substantial change of terms in the Platform T&C, you have the right to terminate the agreement. If you continue to use the Platform, you automatically agree to all changes in the Platform T&C.

1.3. The sale and purchase of Distributed Tickets and/or Regenerated Tickets through this platform is also subject to the provisions set forth in the section 'TicketSwap Ticket (Re)Sale and Purchase' of the Organizer’s terms and conditions.

1.4. Governing law and jurisdiction. On the Platform T&C, Dutch law applies exclusively. Notwithstanding this choice of law, if you are a EU citizen you are entitled to the protection afforded to you by the mandatory law of your country of residence. Disputes will be submitted to the competent court in Amsterdam.


2. PROCESS OF THE PLATFORM SERVICE

2.1. Signing in. To access the Platform Service, you must sign in using an email address, Google account, Facebook account, or Apple ID. The Platform Service is intended for personal use, and commercial traders or businesses are discouraged from using it.

2.2. Uploading process. As a Seller, the User may offer a Distributed Ticket for sale on the Platform by uploading the original digital file of the Distributed Ticket for sale to the Organizer on the Platform, as provided by Organizer or the primary ticket provider, an authorized platform or retailer where tickets for an event are sold directly by Organizer (“Primary Ticket Provider”). The Seller must have the right to sell the Distributed Ticket. Scanned tickets, photos of tickets, or modified files are not accepted.

The Seller fills in the details of the Distributed Ticket as completely and truthfully as possible. Such information shall in all cases include the name of the event, the price and the personal bank account of the seller. In addition, the Seller fills in any differing entrance rights compared to normal tickets (e.g. early entrance, late entrance, child tickets, CJP pass, etc.). The country in which the bank account has been opened must be one of the countries listed here. The Seller must set one of the supported currencies for the listing and confirm that it has not deducted the VAT paid on the original ticket price of the Distributed Ticket. If the Distributed Ticket is intended for a specific section or seat, the Seller must indicate the seat number clearly in the “description” field or in the “seating” option (when available).

In case the Seller is a Primary Ticket Provider, the description in any case includes the following information: information of the event concerned, the name of the Primary Ticket Provider, the address, phone number and email address of the Primary Ticket Provider as well as the price of the Ticket.

TicketSwap reserves the right to adjust the information about an offered Distributed Ticket to the information set out on the uploaded Distributed Ticket.

The Seller may withdraw their offer to sell the uploaded Distributed Ticket at any time, provided the offer has not yet been accepted. To clarify: once Organizer reserves the Distributed Ticket for purchase, the Seller is obliged to sell the Distributed Ticket to Organizer. Organizer is under an obligation of best efforts to purchase the Distributed Ticket from the Seller.

The Seller must at all times be aware of restrictions regarding the transferability of Distributed Tickets (e.g. non-transferability because the Distributed Ticket is personalized), and must state applicable restrictions in the advertisement. When a Distributed Ticket with an undisclosed limitation is bought by Organizer and subsequently sold as a Regenerated Ticket to Buyer, Seller is required to refund Buyer.

2.3. Sale of Distributed Tickets. After a Distributed Ticket is sold to Organizer, the Seller will receive a confirmation via email or push notification from TicketSwap on behalf of the Organizer. The Distributed Ticket will be automatically removed from the Platform and subsequently Regenerated into a Regenerated Ticket. The Seller must verify that the Distributed Ticket is marked as sold on the Platform. The Seller is required to destroy all duplicates of the Distributed Ticket and is not permitted to list the Distributed Ticket on multiple platforms. If a Distributed Ticket is sold simultaneously on two different platforms, the Seller is obligated to reverse the sale on the other platform.

Certain Distributed Tickets on the Platform can be purchased using TicketSwap's SecureSwap service. When a Distributed Ticket is sold via SecureSwap, the Distributed Ticket becomes invalid after the sale and is Regenerated and sold as a Regenerated Ticket to Buyer. This ensures that the purchased Ticket has never been used before. A SecureSwap Ticket can be identified by the SecureSwap logo. Click hereto learn how SecureSwap works.

2.4. Purchase of Regenerated Tickets. When a Regenerated Ticket is purchased (through SecureSwap), Buyer enters into an agreement with Organizer. The agreement allows Buyer to purchase the Regenerated Ticket through SecureSwap. Organizer shall grant Buyer access to the event and check the Regenerated Ticket at the entrance of the event through live scanning or otherwise in accordance with the agreement between TicketSwap and Organizer.

Following the purchase of an e-ticket by Buyer, TicketSwap will issue an invoice to Buyer in the name and on behalf of Event Partner. If the margin scheme is applicable, an invoice or any document serving as an invoice for the resale of an e-ticket to Buyer includes a statement that the margin scheme (in Dutch: ‘margeregeling’) is applied. As a result of the application of the margin scheme by Event Partner regarding the (re)sale of e-tickets and including this aforementioned statement, the invoice does not include a separate statement of a VAT charge. If the margin scheme is not applied by the Event Partner, the VAT is due on the full sales price and mentioned as such on the invoice.

2.5. Downloading process. After purchase, the Regenerated Ticket is immediately downloadable from the Platform. In addition, as soon as possible after payment is received by Stripe (see below), TicketSwap provides the Ticket:

i. in Your Tickets in your TicketSwap account;

ii. per email in the form of a link to the PDF file. Upon purchase, a final agreement between the Seller and the Buyer has been concluded.

Due to the nature of the product, it is not possible to undo the purchase at any time. Once the transaction is finalized, there is no withdrawal period for Buyer or Seller.

2.6. Aftercare. There is a risk that (administrative) problems occur with the purchase and sale of Distributed Tickets and/or Regenerated Tickets, including but not limited to the invalidity of a ticket. The risks associated with the validity of the Distributed Ticket and the Regenerated Ticket and any related costs shall be borne by the concerned Seller or Buyer.

If an (administrative) problem occurs with the purchase and sale of a Distributed Ticket or a Regenerated Ticket, TicketSwap will facilitate a moderated chat in the following events:

  • a problem has arisen in the relationship between the Seller and Organizer regarding the purchase of a Distributed Ticket; and

  • a problem has arisen in the relationship between the Buyer and Organizer regarding the sale of a Regenerated Ticket.

The moderated chat aims to seek a resolution through mutual consultation. TicketSwap acts as an independent moderator and will attempt to gather evidence supporting the claims of both parties.

Buyer has the right to report an (administrative) problem within 30 days after the event. Following this period, TicketSwap Local will no longer process any claims, except within the periods of the complaints procedure as described in the Trust & Safety Policy.


3. THIRD PARTY SERVICES

Payment service. Payment processing services with respect to e-ticket sales concluded on TicketSwap are provided by Stripe and are subject to the Stripe Connected Account agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”).

3.1. By agreeing to the Platform T&C or continuing to operate as a Seller on TicketSwap you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.

3.2. In the event of any conflict or inconsistency between the terms and conditions set forth in the Platform T&C and the Stripe Services Agreement, the provisions of the Platform T&C shall prevail to the extent permitted by applicable law.
